45. If any provision of the Agreement or order is found to be illegal, invalid or unenforceable under current or future laws in force during the terms of the Agreement and the Order, that provision shall be entirely severable. The balance between the Agreement and the Order will remain in full force and effect unless the Commission and Cybex agree in writing that the separation of the provision materially affects the subject matter of the Agreement and the Order. 30. All outstanding amounts, if any, due and due under the Agreement constitute a debt owed by Cybex in the United States and due immediately, and Cybex will have interest at the federal legal interest rate set at 28 U.S.C. 1961 (a) and (b) from the date of default, and will be paid by Cybex at the legal federal interest rate, that on 28 U.S.C. 1961(a) and (b) from the date of delay. until all amounts due have been paid in full (hereinafter referred to as “Outstanding Payment Amount” and “Default Interest Balance”). The Agreement and the Order apply to Cybex and each of its successors, purchasers and assigns and bind Cybex; and any breach of the Agreement or the College may result in reasonable legal action for Cybex and any of its successors, purchasers and assigns. 11. 32. This Agreement is subject to the final acceptance by the Commission set forth above and is subject to the provisions of 16 CFR 1118.20(h). After the later date: (i) the final acceptance of this Agreement by the Commission and the delivery of the accepted Agreement to Cybex and (ii) the date of the final order, this Agreement shall enter into full force and effect and shall be binding on the parties. 2.
